Headwaters Inc. Acquires Metals USA’s Stone-coated Metal Roofing Products Business

Headwaters Inc., a building products company dedicated to improving lives through innovative advancements in construction materials, has acquired the assets of Metals USA’s roofing products business (“Gerard”). Founded in 1981, Gerard is the second largest manufacturer of stone coated metal roofing materials in the United States. Gerard sells seven primary metal profiles, including classic tile, barrel vault, and canyon shake. This niche roofing product combines aesthetically pleasing profiles resembling tile, shake, or slate with a fire proof material and a low lifetime installed cost.

“One element of our business strategy is to increase the number of products that we provide to our core customers,” said Kirk A. Benson, Headwaters’ Chairman and Chief Executive Officer. “The $2.6 billion specialty niche roofing market is of interest to our core customers and is an area of focus for Headwaters. With the addition of Gerard, we now have three product categories in niche roofing, including composite, concrete, and metal which we believe will open up opportunities for cross selling as well as bundling a complete roofing system, including our Tag & Stick underlayment product.”

Gerard fits Headwaters’ strategy to pursue building product opportunities where we can enjoy strong market share and top quartile industry margins. “We are excited about the combination of our metal roofing products with Headwaters’ composite product,” said Ron Anderson, President of Gerard. “We strongly believe in the sales synergy associated with marketing both products with Gerard’s national sales force, creating opportunities for roofing contractors to pull more product through distribution. There is an upside opportunity to expand our sales internationally, as our metal products are well received throughout the world.”

“The $28 million transaction will be immediately accretive to earnings. We are funding the transaction with existing balance sheet cash, and of course, will benefit from financial leverage as the operating returns significantly exceed the cost of our debt,” said Don P. Newman, Chief Financial Officer. “Our net debt to adjusted EBITDA ratio will increase slightly with the use of cash, but we remain on track to achieve our desired leverage ratio in 2015.”

FlashCo to Open New Flashings Manufacturing Facility in Piedmont, S.C.

FlashCo Manufacturing Inc. is building its first location dedicated to serving the East Coast and Southeast. The new FlashCo plant opening in Piedmont, S.C., will produce standard and custom accessories for commercial and residential roofing projects. Accessories manufactured will be available in TPO, PVC, lead, copper, zinc and galvanized metal to meet the needs of roofing contractors.

FlashCo saves the contractor time by providing single-ply roof flashings and accessories that install up to five times faster than field-fabricated parts. On a typical job, roof flashings can represent about 5 percent of the project cost but can take up to 20 percent or more of the project time. Saving time and labor costs can make a big difference on the bottom line for contractors. “Saving the contractor time is our mission,” says Greg Morrow, FlashCo president and founder. “With our Piedmont facility, FlashCo will be ideally located to significantly reduce freight costs and transit times for our East Coast and Southeast customers, as well as our private-label partners.”

A key part within FlashCo’s growth has been its commitment to getting standard and custom-made parts to contractors in one to three days. TAMKO Now Produces Heritage IR Shingles in Phillipsburg, Kan.

TAMKO Building Products has begun production of its popular Heritage IR shingles at its Phillipsburg, Kan., manufacturing facility.

“It’s exciting for us at Phillipsburg to be producing Heritage IR,” said Travis Moore, general manufacturing manager at TAMKO Phillipsburg. “We are pleased to help provide additional distribution options for TAMKO customers.”

Reinforced construction enables the Heritage IR shingles to meet the UL 2218 Class 4 impact resistance rating at the time of manufacture. The UL 2218 Class 4 impact resistance test involves dropping a 2-inch steel ball onto a shingle from a height of 20 feet. Other shingles may crack or rupture during the test. Heritage IR shingles on the other hand, have met the test requirements for withstanding the impact.

GAF Offers Free Tools to Assist Roofing Contractors

GAF offers innovative tools to help roofing contractors save time and improve their businesses. The newest releases include the GAF Pro Roof Estimator app, the GAF Tips for Pros app and an Android version of its popular GAF Remodeler iPad app. It also debuted the GAF Roofing Shingle Design & Style Guide on its website with HGTV celebrities Genevieve Gorder and Carter Oosterhouse.

GAF is focused on helping contractors to improve their in-home sales process. In a recent third-party study, 43 percent of homeowners said they would be more likely to choose a contractor if he/she had a professional-looking estimate. Based on this need, GAF announces the GAF Pro Roof Estimator iPad App, which is available to GAF factory-certified contractors.
